NOTICE OF SEALED BID SALE OF REAL PROPERTY

NOTICE IS HEREBY GIVEN that the real property (hereinafter described as the Property) will be offered for sale by the American Valley Community Services District (“District”), to the highest responsible and qualified bidder at a sealed bid sale to be conducted by the District at 10:00 a.m. on Thursday, May 11, 2023 at the AVCSD Board Room, 179 Rogers Avenue, Quincy, CA 95971.

Said real property is located within the unincorporated town of Quincy, County of Plumas, State of California, identified by the Assessor Parcel Number: 116-050-038, which is more particularly described in Exhibit A.

The Property is comprised of approximately 4.21 acres. The District will be retaining a portion of the Property consisting of approximately 1,000 square feet where it maintains a water well.

THE PROPERTY MAY BE SUBJECT TO ONE OR MORE OF THE FOLLOWING ITEMS WITH REGARD TO THE DEVELOPMENT OF THE PROPERTY INCLUDING BUT NOT LIMITED TO:

Zoning Ordinance, and/or any pending ordinances affecting the development of the property. Potential bidders are advised to investigate the building restriction guidelines with the appropriate agencies prior to the sealed bid sale. Potential bidders are further advised to investigate development issues associated with the property, including but not limited to, conditions and restrictions, geology, site grading, street access, drainage, availability of sewer and other public facilities.

All persons interested are invited to submit a written sealed bid and such bids shall be delivered to the American Valley Community Services District office, 900 Spanish Creek Road, Quincy, CA 95971, no later than 5:00 p.m. of Wednesday, May 10, 2023. Sealed bids will be opened and read aloud on Thursday, May 11, 2023 at 10:00 a.m. at the AVCSD Board Room, 179 Rogers Avenue, Quincy, CA 95971.

Bids are to be sealed and clearly labeled with “BID-SALE OF PROPERTY” and the Assessor’s Parcel Number as listed above. EACH BID MUST BE ACCOMPANIED WITH A DEPOSIT IN THE FORM OF A CASHIER’S CHECK OR A CERTIFIED CHECK MADE PAYABLE TO THE AMERICAN VALLEY COMMUNITY SERVICES DISTRICT IN THE AMOUNT OF THREE PERCENT (3%) OF THE TOTAL WRITTEN BID PRICE (the “Initial Bid Deposit”). The Initial Bid Deposit will be credited against the purchase price. Said Initial Bid Deposit shall constitute a guarantee that in the event the offer of purchase is accepted by Seller, the Buyer making said offer should complete the purchasing according to the terms and conditions herein specified with the purchase price equal to the written bid price. Said Initial Bid Deposit shall be accepted, credited and applied to the account of the purchase price of the Property. In the event said offer to purchase the subject parcel is rejected, or if the Buyer disapproves feasibility during the Due Diligence Period, the Initial Bid Deposit shall be returned to the Buyer.

Of the written sealed bids submitted which conform to the terms and conditions specified in this Notice to sell and which are made by responsible and qualified bidders, the written bid price which is the highest total price (“Selected Written Bid”), shall be presented to, and considered by, the Board of Directors for final acceptance at a public meeting held within sixty (60) days of the date of the opening of the sealed bid proposals. The final acceptance of the Selected Written Bid by the Board of Directors shall be made at its public meeting, or the Board of Directors may, if they deem such action to be for the best public interest, reject all bid and either re-notice the sale, withdraw the Property from sale, or direct the sale of the Property by any legal process, including direct negotiations with one or more prospective buyers.

The responsible and qualified bidder submitting the Sealed Written Bid (the “Selected Bidder”) shall execute and deliver to the District Office a purchase and sale agreement within thirty (30) calendar days after the date of the opening of the sealed bid proposals which shall be acted upon by the Board of Directors within sixty (60) calendar days of the date of the opening of the sealed bid proposals. Failure of the Selected Bidder to execute and deliver the purchase and sale agreement within thirty (30) calendar days will forfeit the Initial Bid Deposit. The Due Diligence Period under the PSA shall commence upon bidder’s execution and delivery of the PSA to the District.

The Property is available for inspection by bidders prior to the date for receipt of written sealed bids. The Seller urges all bidders to inspect the Property before bidding. By bidding on the Property, the bidder represents to the Seller that bidder has in fact inspected the Property to bidder’s satisfaction, knows the condition thereof, and based on that knowledge and inspection, is nevertheless ready, willing and able to purchase the Property.

Bidders shall submit any questions regarding this Sealed Bid Sale in writing to the attention of the General Manager by email to: [email protected]. Questions must be received no later than 5:00 PM, Wednesday, May 3, 2023.

No warranty or representation is made by the Seller with respect to location, size, description of improvements, or zone of the Property hereinbefore described set out in this Notice; such data being set forth for information only and is not, and shall not be deemed to be, a part of the description by, or conditions of, which the Property will be offered for sale or sold. The Seller makes no representation or warranty whatsoever as to the condition or usability of the Property; the presence of any defects, whether apparent or hidden, or the fitness of the property for use, or its fitness for a particular use. Said Property offered for sale is offered in an “AS IS” condition. All bidders, by bidding on the Property, are, by such act, expressly agreeing to purchase the Property in an “AS IS” condition and without any warranty as to fitness for use, fitness for a particular use, or condition of the Property, and that the Seller has no obligation to correct any condition of the Property, whether known before or after the date of the receipt of sealed bids.

ALL INFORMATION PROVIDED IS DEEMED RELIABLE, BUT IS NOT GUARANTEED AND SHOULD BE INDEPENDENTLY VERIFIED.

Seller reserves the right to postpone or continue the sale or to withdraw the Property from the sale. Seller also reserves the right to reject any and all bids.

No sale shall be made or become final unless and until confirmed by the American Valley Community Services Board of Directors.

DESCRIPTION OF PROPERTY

THE LAND REFERRED TO HEREIN BELOW IS SITUATED IN THE UNINCORPORATED TOWN OF QUINCY, COUNTY OF PLUMAS, STATE OF CALIFORNIA AND IS DESCRIBED AS FOLLOWS:

A portion of the Northeast 1/4 of Section 13, Township 24 North, Range 9 East, Mount Diablo Base and Meridian, more particularly described as follows:

That portion of the first Parcel of land described in the deed recorded in Book 207, Page 737 of Official Records, Plumas County Records which lies Southerly of the following described line and Westerly of the Western boundary of that certain Subdivision Map shown on the map entitled, “Bresciani Industrial Park”, filed in the office of the Plumas County Recorder in Book 4 of Maps, at Page 139 and as corrected by that certain Certificate of Correction, recorded in Book 327, Page 171 of Official Records.

Beginning at the Northwest corner of Lot 5 of said Subdivision Map; thence South 74° 37′ 54″ West 590 feet more or less, to the Northeast corner of Parcel 1 of that certain Parcel Map filed in the office of the Plumas County Recorder in Book 9 of Parcel Maps, at Page 11.

Excepting therefrom all that portion as described in the deed from East Quincy Services District, a political subdivision to Bresciani Family Limited Partnership, recorded July 24, 2006, as Instrument No. 2006-0006200 of Official Records.
